1. Acceptance of Terms

By accessing or using the Mandato API and related services ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Mandato provides an API service that converts invoice data to government-required XML formats, authenticates with government tax systems, submits invoices, and tracks their status. We act as a technical intermediary between your systems and government e-invoicing platforms.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your API keys and account credentials. Notify us immediately of any unauthorized access.

4. API Usage

You agree to use the API in accordance with our documentation and rate limits.
You are responsible for the accuracy and legality of invoice data you submit.
Automated systems must respect rate limits and implement exponential backoff.
You must not use the Service for fraudulent invoicing or tax evasion.

5. Service Levels

We strive for 99.9% uptime for our API. However, we do not guarantee uninterrupted service. Government system availability is outside our control and may affect submission and status-checking operations.

6. Pricing and Payment

Pricing is as displayed on our website. We may change prices with 30 days' notice. Payments are processed by Stripe. Overdue accounts may have API access suspended.

7. Data and Intellectual Property

You retain ownership of all invoice data submitted through the Service. We retain ownership of the Service, API, SDK, documentation, and all related intellectual property.

8. Limitation of Liability

Mandato is not liable for errors in invoice data you provide, government system downtime, or indirect damages arising from use of the Service. Our total liability is limited to the fees paid in the 12 months preceding the claim.

9. Termination

Either party may terminate at any time. Upon termination, we will retain your data as required by law (10 years for tax records) and delete remaining data within 30 days.

10. Governing Law

These Terms are governed by the laws of Romania. Disputes shall be resolved in the courts of Bucharest, Romania.
